A Private Company, also known as a (Pty) Ltd, is a separate legal entity and must be registered as a taxpayer in its own right. While there is no limit to the number of shareholders it may have, it is restricted from offering its shares to the general public.
The abbreviation “(Pty) Ltd” stands for “Proprietary Limited.” A Private Company can be established by just one director or incorporator, with no upper limit on the number of directors it may appoint.
The company’s registered name must end with “(Pty) Ltd.” Shares in the company cannot be freely traded and are subject to restrictions. Directors can be changed at any time as required by the company.
Upon registration, the company will have a Memorandum of Incorporation (MOI), which outlines its governance structure and rules.
To register a new (Pty) Ltd company, the following documents and information are required:
The number of directors and their certified ID copies
Four name options in order of preference
The company’s postal and physical address (can be the same as a residential address)
Contact details of the company (emails and phone numbers)
Details of all intended directors (addresses, contact numbers, and emails)
A Limited Power of Attorney, signed by all directors, authorizing us to register the company on your behalf (this will be emailed to you once your order is placed)
The registration process is completed in two steps:
Step 1 – Name Reservation: This takes about 1–2 working days. Please note that delays may occur due to CIPC system issues or high application volumes.
Step 2 – Company Registration: Once your name is approved, the actual registration takes 3–5 working days. However, similar delays from CIPC may apply. Overall, the full process typically takes 1–2 weeks.
After the company has been successfully registered, you will receive the following documents by email:
Company Registration Certificate (COR 14.3)
Notice of Incorporation (COR 14.1)
Confirmation of Initial Directors (COR 14.1A)
Memorandum of Incorporation (COR 15.1A)
Share Certificate(s) (if required)
FREE BEE Affidavit (optional)
FREE Business Bank Account (optional)
